How to Create an LLC in Iowa

Creating a limited liability company in Iowa can be accomplished by filing the proper formation document with the state. An Iowa LLC can be created by a single person or by an unlimited number of LLC members. Other LLC's, corporations, foreign businesses, partnerships and individuals may participate as members of an Iowa LLC. Upon approval of the Iowa LLC's formation documents, the company will be treated as a distinct legal entity that exists separately from its owners.

      Research name availability with the Iowa secretary of state. To confirm name availability, call the secretary of state's office at 515-281-5204 or use its website. Select a name that is distinguishable from other businesses that are registered with the secretary of state. Include the phrase "limited liability company" in the legal name of the business, or select the appropriate abbreviation of the phrase.

      Print articles of organization from the Iowa secretary of state website. Call 515-281-5204 to have articles of organization sent by mail. Or pick up articles of organization in person at the secretary of state's office in the Lucas Building, First Floor; 321 E. 12th St.; Des Moines, IA 50319.

      Complete the Iowa articles of organization. Indicate the legal name and principal address of the Iowa LLC. State whether the company will be managed by its members or by non-members. List the name and address of each person or business responsible for organizing the LLC. Provide the name and address of a person or business that will accept the LLC's legal and tax documents. Include the signature of a manager, member or individual authorized to act on behalf of the LLC.

      Mail or hand-deliver the articles of organization to the Iowa secretary of state at the Des Moines address given previously. Pay the filing fee, $50 as of 2010.

      Draft an operating agreement for the Iowa LLC. Include information about the company such as procedures for adding new members, voting rights of the company's members, and the manner in which the company will divide its profits. Iowa does not offer specific guidelines in terms of creating an operating agreement. Keep the LLC's operating agreement at the company's main business location.
